In some cases you could cover the catalytic converter and have zero problems. In some cases you may actually benefit from even insulating the catalytic converter. It all depends on how and where you drive. The closer you can keep it in the middle of its working temperature the better.
But then you could have a teenager in Arizona that will want to push the car to its limits. So you need enough cooling for situations like that. Otherwise there will be people ruining their catalytic conveter because they didn't baby it in hot weather.
